</p><p>    Applicants: TIP Funds (``TIP Funds''), Turner Investment Partners, 
Inc. (``Turner''), Mercury Funds, Inc. (``Company''), Mercury Master 
Trust (``Trust''), and Fund Asset Management, L.P. (``FAM'').
</p><p>    Summary of Application: Applicants request an order that would 
permit the Company not to reconstitute its board of directors following 
an acquisition of substantially all of the assets of a series of TIP 
Funds in order to comply with the disinterested director requirement of  section 15(f)(1)(A) of the Act.</p><p>    Filing Dates: The application was <strong>filed</strong> on May 3, 2000, and amended  on November 13, 2000.</p><p>    Hearing or Notification of Hearing: An order granting the 
application will be issued unless the Commission orders a hearing. 
Interested persons may request a hearing by writing to the Commission's 
Secretary and serving applicants with a copy of the request, personally

<p>    On April 13, 2000, the American Stock Exchange LLC (``Amex'' or 
``Exchange'') <strong>filed</strong> with the Securities and Exchange Commission 
(``Commission''), pursuant to Section 19(b)(1) of the Securities 
Exchange Act of 1934 (``Act''),\1\ and Rule 19b4 thereunder,\2\ a 
proposed rule change to amend certain Amex rules relating to member 
firm transactions with Amex employees. On September 25, 2000, the Amex 
<strong>filed</strong> Amendment No. 1 to the proposal.\3\ The proposed rule change was 
published for comment in the Federal Register on October 31, 2000. \4\

<p>    On July 23, 1999, the American Stock Exchange LLC (``Amex'' or 
``Exchange'') submitted to the Securities and Exchange Commission 
(``SEC'' or ``Commission''), pursuant to Section 19(b)(1) of the 
Securities Exchange Act of 1934 (``Act''),\1\ and Rule 19b4 
thereunder,\2\ a proposed rule change to amend Amex Rule 462, ``Minimum 
Margins,'' to revise the margin requirements for stock options and  stock index options. The proposed rule<br/> [[Page 71152]]<br/>
change was published for comment in the Federal Register on September 
8, 1999.\3\ No comments were received on the notice of the proposed 
rule change. The Exchange <strong>filed</strong> Amendment Nos. 1 \4\ and 2 \5\ to the 
proposal on June 1, 2000, and September 25, 2000, respectively. This

  <description><![CDATA[ November 17, 2000.</p><p>    On August 18, 2000, the Philadelphia Stock Exchange Inc. (``PHLX'' 
or ``Exchange'') <strong>filed</strong> with the Securities and Exchange Commission 
(``SEC'' or ``Commission''), a proposed rule change pursuant to Section 
19(b)(1) of the Securities Exchange Act of 1934 (``Act'') \1\ and Rule 
19b4 thereunder.\2\ The Exchange proposed amendments to its rules 
concerning appeals from decisions in disciplinary proceedings. The 
proposed rule change was published for comment in the Federal Register
