  <description><![CDATA[  November 30, 2006.</p><p>    On September 20, 2006, the American Stock Exchange LLC (``Amex'' or 
``Exchange'') filed with the Securities and Exchange Commission 
(``Commission''), pursuant to Section 19(b)(1) of the Securities 
Exchange Act of 1934 (``Act'') \1\ and Rule 19b4 thereunder,\2\ a 
proposed rule change to amend Section 107D(b) of the Amex Company Guide 
\3\ to extend the maximum duration of indexlinked securities (``Index
Linked Securities'') from ten (10) years to thirty (30) years. The 
proposed rule change was published for comment in the Federal Register 
on October 27, 2006.\4\ The Commission received no comment letters on  the proposal.<br/>     \1\ 15 U.S.C. 78s(b)(1).<br/>     \2\ 17 CFR 240.19b4.<br/>
